1. Service Description

Diviato is an AI-powered tax research and workflow support tool provided by Tax Toys Pty Ltd. The service provides access to an AI Tax Agent that assists with Australian tax research, question answering, and analysis support.

2. Subscription Access

Upon subscribing and paying the applicable fees, you receive a non-exclusive, non-transferable licence to access and use the Diviato service for the duration of your subscription period, subject to these terms.

3. Plans and Pricing

Subscription plans (Solo, Team, Firm) differ by features, user seat limits, and query allowances as described on the Pricing page. Pricing is in Australian Dollars (AUD) and includes GST. We reserve the right to change pricing with reasonable notice.

4. Billing and Payment

Payments are processed securely via Stripe. By subscribing, you authorise recurring charges to your nominated payment method. Billing occurs monthly or annually depending on your chosen cycle.

5. Free Trial

New subscriptions include a 14-day free trial. No charges apply during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan.

6. Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods.

7. Refunds

Refunds may be considered on a case-by-case basis at Tax Toys' sole discretion. Australian Consumer Law rights are not affected by these terms.

8. Acceptable Use

You agree to use the service lawfully and responsibly. You must not:

• Attempt to reverse-engineer, scrape, or extract the AI model or its training data
• Use the service to generate content for unlawful purposes
• Share your account credentials with unauthorised users
• Exceed the query limits of your subscription plan
• Submit information that you are not authorised to disclose

9. Account Obligations

You are responsible for maintaining the confidentiality of your account credentials. You must notify us promptly if you become aware of any unauthorised use of your account.

10. Service Availability

We aim to provide reliable access to the service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable notice. Unplanned outages may occur.

11. Feature Changes

We may add, modify, or remove features from the service over time. We will endeavour to provide reasonable notice of material changes that affect your subscription.

12. Limitations and Disclaimers

The Diviato AI Tax Agent provides information based on its training data and configured knowledge. Responses may contain errors, omissions, or outdated information. The service:

• Is not guaranteed to be complete, accurate, or current
• Does not replace qualified professional tax or legal advice
• Should not be relied upon as the sole basis for decisions involving material financial or legal consequences
• Currently supports Australian tax matters only

13. Liability

To the maximum extent permitted by law, Tax Toys Pty Ltd's total liability under these terms is limited to the fees you have paid in the 12 months preceding the claim. We exclude liability for indirect, consequential, or incidental damages.

14. Suspension and Termination

We may suspend or terminate your access if you breach these terms, engage in prohibited use, or if required by law. We will provide notice where reasonably practicable.

15. Data and Privacy

Your use of the service is subject to our Privacy Policy. Conversation data is processed to provide the service and is not used to train third-party AI models.

16. Governing Law

These terms are governed by the laws of Australia. Disputes will be subject to the exclusive jurisdiction of Australian courts.
